Terms of Service

These Terms of Service ("Terms") govern your access to and use of ServiceOps (the "Service"), operated by Broad River Studios LLC ("Broad River Studios," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
ServiceOps is a field-service management platform that provides scheduling and dispatch, work orders and invoicing, customer management, inventory, reporting, and a mobile application, among other features. We may add, change, or remove features over time.
2. Accounts and eligibility
You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of the information you provide, for maintaining the confidentiality of your login credentials, and for all activity under your account. Notify us promptly of any unauthorized use. You are responsible for the users (such as your staff and technicians) you invite to your organization and for their compliance with these Terms.
3. Free trial
We may offer a free trial period. The trial gives you access to the Service without charge for the stated period and does not require a credit card. We may change or end trial offers at any time. At the end of the trial, continued use requires a paid subscription.
4. Subscriptions, billing, and renewals
Paid plans are billed in advance on a recurring monthly or annual basis through our payment processor, Stripe. By subscribing, you authorize us to charge your payment method for the applicable fees, including any per-seat add-on charges, plus taxes, on each billing cycle. Subscriptions renew automatically at the then-current price until cancelled. We will give reasonable notice of any price change, which will take effect on your next renewal.
5. Cancellation and refunds
You may cancel your subscription at any time from your billing settings. When you cancel, your subscription remains active through the end of the billing period you have already paid for, and it will not renew after that. Fees already paid are non-refundable, and we do not provide refunds or credits for partial periods, unused time, or features not used. We offer a free trial so you can evaluate the Service before paying. This section does not limit any rights you may have that cannot be waived under applicable law.
6. Acceptable use
You agree not to, and not to allow anyone to:
- use the Service for any unlawful, infringing, or fraudulent purpose;
- access or attempt to access another organization's data;
- probe, scan, or test the vulnerability of the Service, or breach security or authentication measures;
- interfere with or disrupt the integrity or performance of the Service;
- reverse engineer or attempt to extract source code, except as permitted by law; or
- resell or provide the Service to third parties except as expressly permitted.
7. Your data and ownership
As between you and us, you own the data you and your users submit to the Service, including your customer, job, and business records ("Your Data"). You grant us a limited license to host, process, and transmit Your Data solely to provide and improve the Service and as described in our Privacy Policy. You are responsible for Your Data and for having the necessary rights and consents to collect and use it, including the personal information of your own customers.
8. Intellectual property
The Service, including its software, design, and content (excluding Your Data), is owned by Broad River Studios and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. All rights not expressly granted are reserved.
9. Third-party services
The Service relies on third-party providers (for example, payment processing, hosting, email, and mapping). Your use of the Service may be subject to those providers' terms, and we are not responsible for third-party services. Payment processing is handled by Stripe and is subject to the Stripe Services Agreement.
10. Disclaimers
The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure. You are responsible for maintaining your own backups of critical business records where appropriate.
11. Limitation of liability
To the maximum extent permitted by law, Broad River Studios will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total liability for any claim arising out of or relating to the Service will not exceed the amount you paid us for the Service in the twelve (12) months before the event giving rise to the claim.
12. Indemnification
You agree to indemnify and hold harmless Broad River Studios from any claims, damages, and expenses (including reasonable legal fees) arising out of Your Data, your use of the Service, or your violation of these Terms or applicable law.
13. Termination
You may stop using the Service and cancel at any time. We may suspend or terminate your access if you violate these Terms, fail to pay, or if necessary to protect the Service or other users. Upon termination, your right to use the Service ends. You may request an export of Your Data within a reasonable period after termination, after which we may delete it in the ordinary course as described in our Privacy Policy.
14. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will provide notice (for example, by email or within the Service). Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
15. Governing law
These Terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction of the state and federal courts located in North Carolina for any dispute arising out of or relating to these Terms or the Service.
